1. Acceptance of Terms
By accessing or using the website located at momentumbizsystems.com ("Site") or any services provided by Momentum Business Systems ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.
These Terms apply to all visitors, users, and clients of Momentum Business Systems.
2. Services
Momentum Business Systems provides business systems consulting, CRM implementation, workflow automation, website design, lead management, and related services to small and medium-sized businesses. Specific service terms, deliverables, timelines, and fees are outlined in individual Service Agreements or Statements of Work entered into with each client.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.
3. Client Responsibilities
As a client or prospective client, you agree to:
- Provide accurate and complete information when requested.
- Respond to communications in a timely manner to avoid project delays.
- Ensure you have the authority to enter into agreements on behalf of your business.
- Comply with all applicable local, state, and federal laws in connection with our services.
- Use delivered systems, automations, and software only for lawful business purposes.
4. Intellectual Property
All content on this Site — including but not limited to text, graphics, logos, images, and software — is the property of Momentum Business Systems and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Custom deliverables created for a client become the client's property upon full payment, unless otherwise specified in a signed agreement. Proprietary templates, frameworks, and internal tools developed by Momentum Business Systems remain our exclusive property.
5. Payment Terms
Payment terms, amounts, and schedules are defined in individual Service Agreements. Unless otherwise agreed in writing:
- Invoices are due within 7 days of issuance.
- Late payments may incur a 1.5% monthly finance charge.
- We reserve the right to suspend work on any project with an outstanding balance.
- Deposits and setup fees are non-refundable once work has commenced.
6. Confidentiality & SMS Data Sharing
Both parties agree to keep confidential any proprietary information, business strategies, or sensitive data shared during the engagement. We will not disclose your business information to third parties without your consent, except as required by law or to fulfill the services outlined in your agreement.
SMS Data Sharing Policy: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
7. Third-Party Platforms
Our services may involve the use of third-party platforms such as CRM software, automation tools, website builders, and communication systems. You acknowledge that:
- Third-party platforms are subject to their own terms of service and privacy policies.
- Momentum Business Systems is not responsible for outages, changes, or pricing adjustments made by third-party providers.
- You may be required to create and maintain your own accounts with third-party platforms.
8. Limitation of Liability
To the maximum extent permitted by law, Momentum Business Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our services, including but not limited to lost profits, loss of data, or business interruption.
Our total liability for any claim arising from our services shall not exceed the total amount paid by the client in the 30 days preceding the claim.
9. Disclaimer of Warranties
Our Site and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any specific business outcomes will result from the use of our systems.
10. Termination
Either party may terminate a service engagement with 30 days written notice, unless a different notice period is specified in the applicable Service Agreement. Upon termination, all outstanding fees for work completed become immediately due.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Colorado.
12. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our Site or services after changes are posted constitutes acceptance of the revised Terms.
